These terms and conditions ("Terms") govern access to or use of the services provided through this website and the Reporter9Health mobile application (collectively referred to as the "Platform"). These Terms may be updated by us from time to time, and the revised Terms will apply to you. These Terms explicitly replace any prior written agreements with you.

These Terms constitute a binding and enforceable legal contract between New York, a company incorporated under the corporate laws of the United States that governs the governance, finance, and power of corporations, with a registered address at 1050 Thomas Jefferson St NW, Washington, DC 20007, USA, and 120 Fifth Avenue, New York 10011, along with its affiliates, successors, and assigns ("Reporter9Health", "we", or "us") and any user of the Platform ("you" or "User"). You represent and warrant that you have the full legal capacity and authority to agree to and bind yourself to these Terms.

By using the Platform, you agree that you have read, understood, and are bound by these Terms, and you comply with the requirements listed herein. If you do not agree to all these Terms or comply with the requirements herein, please do not use the Platform.

These Terms include any terms, policies, and disclaimers issued by us from time to time ("Additional Terms"). In case of conflict between these Terms and any Additional Terms, the Additional Terms will prevail.

Platform

The Platform includes providing users with news and current affairs content and other associated services, allowing users to access and view content posted or published by Reporter9Health in real-time.

If you choose to avail of any additional features or functions of Reporter9Health ("Additional Services"), you will be bound by the terms of such Additional Services in addition to these Terms. Users may need to purchase certain features and benefits of the Platform through Additional Services. In case of conflict between these Terms and the terms of such Additional Services, the latter shall prevail.

Account Creation

To take full advantage of the Platform's features, you must create an account. Creating an account may require you to provide certain details, including but not limited to your name and email address.

Users may also create such accounts through the 'Single Sign-On' feature via third-party services. For more information on third-party services, please see Section 3 of these Terms.

You are solely responsible for maintaining the security and confidentiality of your username and password and agree to notify Reporter9Health immediately of any disclosure or unauthorized use of your account or any other security breach related to your account.

You expressly agree to be responsible and liable for all activities that occur through your account. Reporter9Health shall not be liable for any unauthorized access or use of such accounts.

You agree to receive communications from Reporter9Health regarding: (i) information related to transactions recorded on the Platform; (ii) information about Reporter9Health and the Platform; (iii) promotional offers and services from Reporter9Health and its third-party partners; and (iv) any other matters related to the Platform.

Third-Party Services

The Platform may include single sign-on functionality ("Third-Party Services") or services, content, documents, and information owned, licensed, or otherwise made available by third parties, including links to third-party services. You understand that Third-Party Services are the responsibility of the third party that created or provided them and accept that using such Third-Party Services is entirely at your own risk.

Reporter9Health makes no representations and excludes all warranties and liabilities arising from or related to such Third-Party Services, including their accuracy or completeness. Furthermore, all intellectual property rights in and to Third-Party Services are the property of the respective third parties.

User Responsibilities

You represent and warrant that all information provided by you through or in relation to the Platform is complete, true, and correct as of the date of agreeing to these Terms and will remain complete, true, and correct and accurate in all respects. If any information provided by you changes during the existence of these Terms, you assure to promptly bring such change to Reporter9Health's notice. Reporter9Health shall not accept any responsibility or liability for any loss or damage caused to you for any information, documents, materials, or data provided by you that is incorrect, incomplete, false, or misleading, or for your failure to disclose any material fact.

You will be solely responsible for ensuring compliance with the laws applicable to your use of the Platform and will be fully liable for any liability arising due to your violation of such obligations.

You will fully cooperate with Reporter9Health in any defense of any proceedings initiated against it due to your violation of your obligations or contracts under these Terms.

You will not use the Platform in any manner other than as explicitly permitted by these Terms. Without limiting the generality of the foregoing sentence, you shall not:

• Violate any proprietary rights, including but not limited to copyrights, patents, trademarks, or trade secrets of any party.

Except as provided herein, you shall not:

• Copy, display, distribute, modify, publish, reproduce, store, transmit, post, translate, create derivative works from, or license any content from the Platform.
• Use the Platform to transmit, send, or upload any data or materials containing viruses, Trojan horses, worms, time bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
• Use any robot, spider, other automatic devices, or manual processes to monitor or copy any part of the Platform.
• Engage in systematic retrieval of content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory.
• Use the Platform:
  • (a) In any unlawful manner,
  • (b) For fraudulent or malicious activities, or
  • (c) In any manner inconsistent with these Terms.
• Violate any applicable laws in any manner; or host, display, upload, modify, publish, transmit, store, update, or share any information that:
  • (a) Belongs to another person and to which you do not have any rights;
  • (b) Is defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, including physical privacy, insulting or harassing based on gender, abusive, racially or ethnically objectionable, related to or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to applicable laws;
  • (c) Is harmful to children;
  • (d) Infringes any patent, trademark, copyright, or other proprietary rights;
  • (e) Violates any law in force;
  • (f) Deceives or misleads the recipient about the origin of such messages or knowingly and intentionally communicates any information that is grossly offensive or menacing in nature;
  • (g) Impersonates another person;
  • (h) Threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, or public order or incites the commission of any cognizable offense or prevents the investigation of any offense or insults any other nation;
  • (i) Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource;
  • (j) Is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity, or agency for financial gain or to cause injury to any person.

Payment

Currently, Reporter9Health does not charge you any fee for accessing and using the Platform. However, Reporter9Health reserves the right to charge you for additional services described on the Platform.

Intellectual Property

All rights, titles, and interests, including all intellectual property rights arising out of or related to the Platform, are owned by or otherwise licensed to Reporter9Health. Subject to compliance with these Terms, Reporter9Health grants you a non-exclusive, non-transferable, non-sub-licensable, revocable, and limited license to access and use the Platform per these Terms and any written instructions issued from time to time.

You may submit or make available any content, videos, information, URLs, contact information, photos, and any other information, whether it originates from you or not ("User Information").

You are solely responsible for such User Information and hereby guarantee that you have all necessary rights, licenses, titles, and consents to provide such User Information to Reporter9Health, and that providing such User Information will not violate any third-party rights.

The user hereby grants Reporter9Health a royalty-free, perpetual, irrevocable, non-exclusive, fully sub-licensable right and license to copy, modify, display, distribute, perform, create derivative works from, store, and otherwise use and exploit all User Information in any form, medium, or technology now known or later developed, in connection with (a) providing the Platform to users, or (b) making User Information available on Reporter9Health's owned and operated websites and other properties. Reporter9Health does not claim ownership rights in User Information submitted by any user, and no ownership rights will be transferred under this Agreement.

Reporter9Health may request or you may submit, from time to time, suggestions, testimonials, and other feedback related to the Platform ("Feedback"). Reporter9Health is free to use, copy, disclose, publish, display, distribute, and exploit such Feedback without any obligation to pay royalties, acknowledge, obtain prior consent, or impose any other type of restriction in connection with your intellectual property rights.

Except as explicitly stated in these Terms, nothing in these Terms shall be construed as granting any rights or licenses under Reporter9Health's or any third party's intellectual property rights.

Term and Termination

These Terms will remain in effect until terminated as stated herein. If you breach or violate any of your obligations, liabilities, or contracts under these Terms, Reporter9Health may, at its discretion, immediately and at any point, terminate your access to or use of the Platform or any part thereof.

Upon termination under Section 7(b):

• You will not be eligible to benefit from any part of the Platform; and
• These Terms will terminate, except for those sections that are intended to survive termination or expiration.

Disclaimer and Warranty

Use of the Platform is at your sole risk. Reporter9Health does not represent you in any fiduciary, agent, attorney-client, or any other capacity, and the use of the Platform does not create any fiduciary duty, attorney-client relationship, representation, or any other type of professional relationship or representation, implicitly or otherwise. The Platform does not provide legal advice. Any information provided by Reporter9Health, its employees, contractors, or other personnel is for informational purposes only and should not be considered legal advice.

To the extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis. Reporter9Health does not guarantee that the Platform's operations will be uninterrupted or error-free, or that the functions available on the Platform will meet your requirements. We may suspend or withdraw any or all parts of the Platform at any time without notice.

To the fullest extent permissible under applicable law, Reporter9Health expressly disclaims all warranties of any kind, whether express or implied, arising out of or in connection with the Platform, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, accuracy, title, and non-infringement.

You hereby accept full responsibility for any consequences arising from your use of the Platform, and explicitly agree and acknowledge that Reporter9Health shall have no liability in this regard.

To the maximum extent permitted by law, Reporter9Health and its affiliates disclaim all liability for any loss or damage arising from or related to:

• Your use of, inability to use, or availability or unavailability of the Platform or any User Information, including any third-party services.
• Any faults, interruptions, or delays in the operation or transmission of information through the Platform, communication failures, theft, destruction, or unauthorized access to Reporter9Health's records, programs, services, servers, or other infrastructure related to the Platform.
• Any downtime or unavailability of the Platform at any time.

Notwithstanding anything contrary herein, neither Reporter9Health nor any of its affiliates shall be liable for any indirect, incidental, special, or consequential damages, or any loss of revenue or profits, whether direct or indirect, arising from or related to these Terms or the Platform. To the maximum extent permitted by law, you agree to release, indemnify, and hold harmless Reporter9Health, its affiliates and subsidiaries, its parent companies, and their respective directors, officers, employees, and agents from any and all claims, losses, damages, liabilities, expenses, and causes of action arising out of or related to your use of the Platform.

Reporter9Health primarily aims to publish and broadcast news and current affairs content. Except as otherwise required by applicable laws, Reporter9Health does not undertake any technical, legal, financial, or other due diligence and makes no representations or warranties in this regard. Reporter9Health does not guarantee that any specific news or current affairs content on the Platform will be suitable for users or meet their expectations. Reporter9Health is not responsible for the accuracy, completeness, or authenticity of any such content.

Any content or information provided, shared, or otherwise made available through the Platform is for informational purposes only. You should not rely on such content or information for making any business, legal, medical, financial, or other decisions. Any reliance you place on such content or information is strictly at your own risk. You should seek professional or expert advice before acting or refraining from acting based on information available on the Platform.

Indemnification You will indemnify, defend, and hold harmless Reporter9Health, its parent companies, subsidiaries, affiliates, officers, partners, successors, assigns, licensors, employees, directors, agents, and representatives from any claims, demands, suits, legal proceedings, losses, liabilities, damages, and costs (including without limitation, all damages, liabilities, settlements, costs, and attorneys' fees) arising out of or related to your access to or use of the Platform, violation of these Terms, or any infringement by any third party who may use your account with Reporter9Health.

Reporter9Health's total monetary liability to you will not exceed $100.

Consent to Use Data By using the Platform, you agree and acknowledge that Reporter9Health may collect and process your data according to its privacy policy available at Privacy Policy. You agree that Reporter9Health may collect and use your information and technical data and related information.

Reporter9Health may use information and data related to your use of the Platform for analytics, trend identification, and statistical purposes to enhance the effectiveness and efficiency of the Platform. Subject to applicable laws, Reporter9Health may be directed by law enforcement agencies or government and related bodies to disclose data concerning users in connection with criminal proceedings. You agree and acknowledge that Reporter9Health shall have the right to share such data with relevant agencies or bodies.

Modifications Reporter9Health reserves the right to add, modify, or discontinue any part of the Platform (or any part of it) temporarily or permanently at any time without reason. The Platform shall not be liable for any additions, modifications, suspension, or discontinuation thereof.

Government Law, Jurisdiction, and Dispute Resolution

These terms shall be governed, interpreted, and enforced in accordance with the laws of India. Subject to other provisions in this section, all matters arising out of the use of these terms or this platform before the courts of New Delhi shall be subject to special jurisdiction.

Any dispute, conflict, controversy, or disagreement arising from these terms shall be resolved through mediation and conciliation in New Delhi in accordance with the Arbitration and Conciliation Act, 1996, as referenced herein. Our appointed mediator shall be involved in the tribunal. The language of mediation shall be English. The parties to the mediation shall keep the mediation confidential and shall not disclose it to any person except on a need-to-know basis or unless required by law. The decision of the mediator shall be final and binding on all parties. Each party to the mediation shall bear its own costs in relation to any dispute.

Various Provisions Amendment of Terms: Reporter9Health reserves the right to amend these terms at any time and to add new or additional rules or terms relating to access to or use of the platform. You will be notified of such amendments and additional rules and terms. If you do not agree to such changes, these terms will be terminated. Severability: If any provision of these terms is determined to be illegal or unenforceable by any court or competent authority, the other provisions of these terms shall remain effective. If any illegal or unenforceable provision is removed, it shall be deemed removed, and the remaining provisions shall remain effective (unless they are contrary to the clear intent of the section). In such a situation, the entire relevant provision shall be deemed removed).

Assignment: You shall not license, sell, transfer, or assign any of your rights, duties, or obligations under these terms in any way without the prior written consent of Reporter9Health. Reporter9Health may, at its discretion and subject to any reasonable and appropriate terms, assign this agreement or prevent it. Reporter9Health may assign any of its rights or obligations under these terms to any affiliate, subsidiary, or successor without any prior notice to you.

Notice: All notices, requests, demands, and determinations for Reporter9Health under these terms (other than regular operational communications) shall be sent to legal@Reporter9Health.com.

Third Party Rights: No third party shall have any right to enforce any term hereof. Waiver: No delay in exercising any right or remedy available under these terms or any other right or remedy shall constitute a waiver of such right or remedy.
